Overview
Welcome to WateRx Corporation. The terms “WateRx,” “we,” “us,” and “our” refer to WateRx Corporation, a Delaware corporation. We operate this online store and website, including the related information, content, features, tools, products, and services made available through it (collectively, the “Services”). Our online store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (“Terms”), together with the policies referenced in them, describe your rights and responsibilities when you visit, interact with, or use the Services. These Terms contain important information concerning orders, product compatibility, installation, warranties, disclaimers, and limitations of liability.
By accessing or using the Services, or by placing an order through our online store, you agree to these Terms and our Privacy Policy. If you do not agree, you should not use the Services.
Section 1 — Eligibility, Access, and Accounts
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. If you allow a minor dependent to use the Services on a device you own or manage, you accept responsibility for that use.
You may be asked to provide information such as your name, email address, telephone number, service or installation address, billing information, shipping information, and details about your WateRx equipment. You represent that the information you provide is accurate, current, and complete and that you are authorized to provide it.
If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You may not sell, transfer, assign, or license your account to another person.
Section 2 — Product Information and System Compatibility
WateRx sells water-treatment systems, replacement cartridges, recharge media, replacement parts, accessories, Tank Swap products, and related goods and services. Product availability varies.
Product photographs, illustrations, dimensions, capacities, performance descriptions, recommended maintenance intervals, and other information are provided for general identification and purchasing purposes. We make reasonable efforts to keep this information accurate, but colors, packaging, components, labeling, and appearance may differ from what is displayed. Product descriptions and availability may be changed without notice.
Many WateRx products are designed for specific system models. The customer is responsible for reviewing the model, product description, compatibility information, quantity, and shipping address before ordering. If you are uncertain about your system model or the correct cartridge, recharge media, component, or Tank Swap option, contact WateRx before placing the order.
An indicated gallon capacity or maintenance interval is an estimate or recommendation, not a guarantee. Actual performance and service life may vary depending on water chemistry, water source, usage, flow rate, pressure, sediment, contaminants, installation conditions, maintenance, and other factors.
We may limit quantities, discontinue products, substitute functionally comparable packaging or components where appropriate, or restrict sales to particular locations or customers. We will not make a material product substitution without notice where customer approval is reasonably required.
Section 3 — Orders and Acceptance
Submitting an order is an offer to purchase. We may accept, decline, place on hold, correct, or cancel an order for reasons including product availability, suspected fraud, payment problems, pricing or listing errors, incompatible products, incomplete information, shipping restrictions, or safety concerns.
An automated order confirmation acknowledges that we received the order; it does not necessarily mean the order has been finally accepted. Acceptance occurs when we confirm acceptance or begin fulfilling the order. Payment must be authorized and processed before fulfillment.
Please review your order carefully before submitting it. We may be unable to cancel or change an order after fulfillment has begun. If we decline, change, or cancel an order, we will attempt to notify you using the email address, telephone number, billing address, or other contact information supplied with the order.
Purchases are subject to our Refund and Return Policy, Shipping Policy, and any product-specific terms displayed on the applicable product page or at checkout. Those policies are available through our online store.
Unless we expressly agree otherwise in writing, products purchased through the online store are for the purchaser’s own use and not for unauthorized resale or export.
Section 4 — Prices, Taxes, and Payment
Prices, discounts, promotions, and product availability may change without notice. The price charged is the price displayed when the order is submitted, subject to correction of obvious errors. Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping, handling, installation, on-site labor, travel, permits, customs charges, duties, or return-shipping costs.
Prices offered through our online store may differ from prices quoted for installation, field service, commercial work, customized equipment, telephone orders, or services provided by an independent installer or technician.
You agree to provide complete and accurate purchase, payment, billing, and account information. You represent that you are authorized to use the payment method submitted and agree to pay all properly disclosed charges associated with your order.
Section 5 — Shipping, Delivery, and Risk of Loss
Shipping and delivery dates are estimates and are not guaranteed. Delays may result from carrier operations, weather, supply limitations, customs processing, incorrect addresses, events outside our control, or other causes.
You are responsible for providing a complete, accurate, and deliverable shipping address and for promptly reviewing tracking and delivery information. Unless applicable law requires otherwise, title and risk of loss pass to you when the product is delivered to the shipping address provided with the order.
Inspect the shipment promptly. Notify WateRx within the period specified in our Shipping Policy or Refund and Return Policy if an item is missing, visibly damaged, incorrect, or appears to have been lost in transit. Keep the packaging and documentation while a carrier or product claim is being reviewed.
Section 6 — Replacement Cartridges and Recharge Media
Replacement cartridges and recharge media must be matched to the correct WateRx system. Product pages may include instructions intended for customers or qualified service providers. The sale of replacement media or instructions does not include installation, on-site labor, travel, removal, disposal, plumbing work, water testing, programming, or technician service unless the product description or a separate written service agreement expressly says otherwise.
Before servicing a system, shut off and relieve water pressure as directed, protect the surrounding area from water, and follow all product instructions and applicable plumbing requirements. Do not proceed if the system is damaged, corroded, leaking, inaccessible, improperly supported, or materially different from the instructions. Contact WateRx or a qualified professional for assistance.
Recharge Products Are Final Sale. Because recharge products contain sensitive filter media and treatment materials, WateRx does not accept returns of recharge products. Except where applicable law requires otherwise or WateRx expressly agrees in writing, all recharge products—including recharge media, recharge-material kits, and replacement cartridges sold for system recharge—are final sale and are not eligible for return, exchange, or refund. This policy applies even if the product is unopened or unused and includes returns requested because the customer changed their mind, no longer wants the product, or decided not to use it. Returning or refusing delivery of a recharge product without WateRx’s prior written authorization does not create a right to a refund.
WateRx may, in its sole discretion, authorize an exception in unusual circumstances. Any exception must be approved by WateRx in writing before the product is returned, applies only to the specific transaction approved, and does not waive this policy for any other purchase. This final-sale policy does not limit claims for an incorrect item, shipping damage, or a product defect, or any warranty or consumer right that cannot lawfully be limited.
Section 7 — Tank Swap Products
A Tank Swap product generally provides a prepared replacement tank or vessel for an eligible WateRx system so that the existing tank can be exchanged or returned as described on the product page. Eligibility, included media or components, shipment method, return requirements, deadlines, packaging instructions, deposits, non-return charges, freight responsibilities, and service availability may vary by product and location.
The terms displayed on the applicable Tank Swap product page and at checkout are incorporated into these Terms. A Tank Swap purchase does not include plumbing, installation, removal, on-site labor, travel, permits, or disposal unless expressly stated. Customers must retain any required packaging and follow the supplied return instructions. Any deposit, replacement charge, or non-return fee must be disclosed on the product page or at checkout to apply.
Section 8 — Installation, Plumbing, and Property Protection
Water-treatment equipment is connected to a pressurized plumbing system. Incorrect selection, installation, reconnection, modification, maintenance, or failure to detect a leak can cause water damage, property damage, personal injury, contamination, or equipment failure.
Unless written instructions expressly identify a procedure as suitable for customer completion, installation and plumbing work should be performed by a qualified, properly licensed, and insured professional familiar with the equipment and applicable codes. Requirements vary by jurisdiction. It is the customer’s responsibility to determine whether a permit, licensed plumber, backflow device, drain connection, pressure-control device, electrical work, inspection, or other requirement applies.
All installations should include appropriate shutoff capability and reasonable protection against leaks. Customers are responsible for periodically inspecting the equipment, fittings, tubing, valves, drains, connections, and surrounding area; maintaining appropriate temperature and pressure conditions; preventing freezing; and promptly shutting off the water supply if leakage or abnormal operation is observed.
Do not install, operate, or service a WateRx product contrary to its instructions, outside its stated pressure or temperature limits, on microbiologically unsafe water without adequate treatment, or in a location where leakage could cause damage without appropriate safeguards.
To the extent permitted by law, WateRx is not responsible for damage caused by unauthorized or improper installation, incompatible components, failure to follow instructions, unlicensed work, altered equipment, excessive pressure, freezing, neglected maintenance, external plumbing conditions, or failure to respond reasonably to a known or observable leak. Nothing in these Terms excludes liability that cannot lawfully be excluded.
Section 9 — On-Site Service, Service Trips, and Independent Technicians
On-site installation, recharge, inspection, repair, programming, or other field service is available only when separately confirmed. Purchasing media or equipment online does not reserve an appointment or create an on-site service obligation.
Proposed service-trip dates, routes, prices, and appointment windows are estimates until WateRx or the applicable service provider confirms them. Service may depend on customer participation, geography, technician availability, weather, travel conditions, equipment access, parts, and other factors. We may reschedule or cancel a trip or appointment when reasonably necessary.
Before an appointment, the customer must provide accurate system and site information, disclose known leaks, damage, access limitations, unusual plumbing, water-source information, and safety concerns, and provide safe and reasonable access to the equipment, shutoff valves, drains, electricity where applicable, and work area.
Some installers or technicians may be independent businesses rather than WateRx employees. When that applies, labor, travel, scheduling, payment, workmanship warranties, licensing, insurance, and other service terms may be established directly between the customer and the independent provider. WateRx will identify separately arranged services where reasonably practicable. WateRx remains responsible for obligations that applicable law does not permit it to disclaim.
Section 10 — Water Quality and Treatment Limitations
Water conditions vary and may change over time. Product selection and treatment recommendations may depend on accurate and sufficiently current water testing. Unless expressly stated in a written guarantee, WateRx does not guarantee that a product will remove every contaminant, correct every water condition, or produce a particular taste, hardness, mineral level, contaminant level, or laboratory result.
Customers using private wells, cisterns, untreated sources, or water subject to a health advisory should obtain appropriate testing and professional guidance. A WateRx product is not a substitute for required disinfection, regulatory compliance, or an official boil-water or do-not-use notice.
Section 11 — Recurring Orders and Subscriptions
If we offer a subscription, automatic-replenishment plan, or recurring order, the frequency, price, products, renewal terms, cancellation method, and any minimum commitment will be disclosed before enrollment. By enrolling, you authorize the disclosed recurring charges until the subscription is canceled.
You may cancel or modify an eligible subscription using the method described at enrollment or by contacting WateRx, subject to orders already processed or shipped. We will provide any notices and cancellation rights required by applicable law. A recommended maintenance interval does not itself create a subscription or authorize a recurring charge.
Section 12 — Email, SMS, and Telephone Communications
We may contact you about an order, requested quote, service appointment, account, safety matter, product issue, customer-service inquiry, or other transaction using the contact information you provide. These non-promotional communications may be necessary to provide requested products or services.
Promotional email and promotional SMS consent are separate and voluntary. Agreeing to these Terms, purchasing a product, or providing a telephone number does not by itself enroll you in promotional email or SMS marketing. Where offered, you may choose separate email and SMS consent options.
If you expressly consent to receive recurring promotional text messages from WateRx, message frequency may vary and message and data rates may apply. Consent is not a condition of purchase. You may reply STOP to opt out and HELP for help, or contact us at contact@waterx.com or 800-548-5785. Carriers are not liable for delayed or undelivered messages. Additional disclosures presented when consent is requested are incorporated into these Terms.
You may unsubscribe from promotional email using the unsubscribe mechanism included in the message or by contacting us. An opt-out from one communication channel does not automatically opt you out of every other channel unless you request that broader restriction. We will honor applicable opt-out requests and may still send legally permitted transactional or service communications.
Section 13 — Privacy
Personal information collected through the Services is governed by our Privacy Policy, available through our online store. Certain information is also processed under Shopify’s applicable privacy terms. Because Shopify hosts the Services, information submitted through the Services may be transmitted to Shopify and to service providers that help operate the store, process payments, fulfill orders, communicate with customers, prevent fraud, and provide related services.
By using the Services, you acknowledge that you have reviewed our Privacy Policy. Marketing consent records may include the contact information provided, consent status, date and time, source, and the disclosure presented when consent was requested.
Section 14 — Intellectual Property
The Services and their content—including WateRx names, trademarks, logos, product names, text, images, graphics, videos, manuals, instructions, and page design—are owned by or licensed to WateRx Corporation and are protected by applicable intellectual-property laws.
You may use materials made available through the Services for personal, noncommercial use associated with properly purchased WateRx products. You may not reproduce, distribute, modify, publish, sell, exploit, or create derivative works from our protected material without written permission, except as allowed by law.
Shopify’s names, logos, product names, and marks belong to Shopify or its licensors. Other names and marks belong to their respective owners.
Section 15 — Optional Tools
We may provide access to tools or functionality supplied by third parties. Unless we expressly state otherwise, we do not control those tools and provide access to them “as is” and “as available.” Your use of optional third-party tools is subject to the third party’s terms and privacy practices and is at your discretion.
New tools, features, and resources added to the Services are also subject to these Terms.
Section 16 — Third-Party Links
The Services may contain links to third-party websites, services, installers, carriers, payment providers, or other resources. We are not responsible for the content, accuracy, availability, security, products, policies, or practices of third parties. Review the third party’s terms and policies before engaging in a transaction. Questions or claims concerning a third party’s products or services should be directed to that third party, except where WateRx has expressly accepted responsibility.
Section 17 — Relationship with Shopify
WateRx Corporation is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with WateRx Corporation. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and WateRx Corporation, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with WateRx Corporation.
Section 18 — Feedback and Reviews
If you submit ideas, suggestions, reviews, photographs, feedback, proposals, or other content (“Feedback”), you grant WateRx a nonexclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display that Feedback for operating, improving, and promoting the Services, subject to our Privacy Policy and applicable law.
You represent that you have the right to submit the Feedback; that it is accurate to the best of your knowledge; that you have disclosed any compensation or incentive associated with it; and that it does not violate the law, these Terms, intellectual-property rights, privacy rights, or other rights. We may moderate or remove Feedback but are not obligated to do so.
Section 19 — Errors, Inaccuracies, and Omissions
The Services may occasionally contain typographical errors, inaccuracies, or omissions involving product descriptions, compatibility, prices, promotions, shipping charges, transit times, instructions, or availability. We may correct errors and update information. If a material error affects an order you submitted, we may contact you for instructions or cancel and refund the affected portion of the order.
Section 20 — Prohibited Uses
You may use the Services only for lawful purposes. You may not use the Services to violate a law or the rights of another person; infringe intellectual property; transmit malicious code; harass, abuse, defame, or threaten others; submit deceptive information; send spam or unauthorized solicitations; impersonate another person; interfere with the operation or security of the Services; collect personal information without authorization; circumvent access or security controls; or reproduce, extract, resell, or exploit the Services except as expressly permitted.
We may suspend or terminate access when we reasonably believe these Terms have been violated.
Section 21 — Automated Agents
If an automated or semi-automated software agent accesses or interacts with the Services, it must identify itself accurately, comply with applicable law and these Terms, and not conceal its automated nature, circumvent technical restrictions, bypass security measures, complete or evade mechanisms intended to distinguish humans from automated systems, or continue accessing the Services after being directed to stop. We may limit or block automated access.
Section 22 — Termination
We may suspend or terminate access to the Services when reasonably necessary, including for violation of these Terms, fraud, security risks, or unlawful conduct. Termination does not affect obligations or amounts accrued before termination.
Provisions that by their nature should survive termination—including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and dispute provisions—will remain effective.
Section 23 — Disclaimer of Warranties
Information provided through the Services is for general informational purposes. Except for any express written warranty supplied with a product or required by law, the Services and products are provided “as is” and “as available,” without representations or warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.
We do not warrant that the Services will be uninterrupted, secure, timely, or error-free, or that information will always be complete or current. Product-specific written warranties, if any, control over inconsistent general language in this section.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Nothing in these Terms limits rights that cannot legally be waived.
Section 24 — Limitation of Liability
To the fullest extent permitted by law, WateRx Corporation and its directors, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, lost savings, loss of data, loss of use, or replacement costs, arising from the Services or products, even if advised that such damages were possible.
To the fullest extent permitted by law, WateRx’s aggregate liability arising from a particular product order will not exceed the amount paid to WateRx for the product or service giving rise to the claim. This limitation does not apply to liability that applicable law does not permit us to exclude or limit.
Section 25 — Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless WateRx Corporation, Shopify, and their respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, and reasonable expenses arising from your material breach of these Terms, violation of law, violation of another person’s rights, misuse of the Services, or unauthorized modification, resale, installation, or use of a product.
We will provide reasonable notice of an indemnifiable claim and may control its defense and settlement, provided that we will not agree to a settlement imposing a nonmonetary obligation on you without your reasonable consent. You agree to cooperate in the defense.
Section 26 — Severability
If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the maximum extent permitted and the unenforceable portion will be severed. The remaining provisions will continue in effect.
Section 27 — Waiver and Entire Agreement
Our failure to enforce a provision is not a waiver of that provision. These Terms and the policies and product-specific terms incorporated into them constitute the agreement governing your use of the Services and supersede prior communications concerning that subject. Any ambiguity will not automatically be interpreted against the drafting party.
Section 28 — Assignment
You may not transfer or assign these Terms or your rights or obligations under them without our prior written consent. We may assign or transfer these Terms and our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, change in control, or operation of the Services, subject to applicable law.
Section 29 — Governing Law
These Terms and any separate agreements through which we provide the Services will be governed by and construed in accordance with the applicable federal laws of the United States and the laws of the state or territorial jurisdiction in which WateRx Corporation is headquartered, without regard to conflict-of-law principles. You and WateRx Corporation consent to venue and personal jurisdiction in the state and federal courts located in that jurisdiction, except where applicable consumer law provides otherwise.
Section 30 — Headings
Headings are included for convenience and do not limit or otherwise affect these Terms.
Section 31 — Changes to These Terms
The current version of these Terms will be available on this page. We may update these Terms by posting a revised version. If required by law, we will provide additional notice of material changes. The revised Terms become effective on the stated effective date. Continued use of the Services after that date constitutes acceptance of the revised Terms to the extent permitted by law.
